Q1. How do I buy or sell James Hardie securities (and what are CUFS and ADR's)?

A1. James Hardie securities are officially listed and traded on Australian Stock Exchange Limited and on New York Stock Exchange:

Australian Stock Exchange Limited
James Hardie Industries NV (JHI NV) shares are traded on the Australian Stock Exchange Ltd (ASX) in the form of CHESS Units of Foreign Securities (or CUFS), and are listed under ASX code JHX.

CUFS are a form of security used to allow trading on the ASX in ordinary shares of companies that are incorporated in countries other than Australia and JHINV is incorporated in The Netherlands. 

CUFS represent beneficial ownership of JHI NV shares, the legal ownership of  which is held by CHESS (Clearing House Electronic Subregister System) Depository Nominees Pty Ltd. JHI NV CUFS trade on  the Australian Stock Exchange under the code JHX.

New York Stock Exchange Inc
In the United States, five JHI NV CUFS equal one Bank of New York-issued American Depository Receipt (or ADR) and. ADR's trade on the New York Stock Exchange under the code JHX.

Q2. How can I obtain a James Hardie CUFS statement? 

A2. James Hardie CUFS holders are sent a holding statement within one week after their new CUFS account is created.  Further holder statements will be sent one week after the end of the month in which a transaction change occurs in the CUFS account.

To obtain a holding statement at any other time:

If you hold a stockbroker (CHESS)-sponsored James Hardie CUFS account, please contact your stockbroker.

If you hold a James Hardie (Issuer)-sponsored CUFS account, please contact Computershare Investor Services.

Q3. How can I notify a change of address and/or name change for my CUFS?

A3. If you hold a stockbroker (CHESS)-sponsored James Hardie CUFS account, please notify your stockbroker.

If you hold a James Hardie (Issuer)-sponsored CUFS account, you can download the necessary form from the Computershare Investor Centre.

Q4. How can I check my CUFS holding?

A4. James Hardie's registrar, Computershare, provides secure access to details of your CUFS holding in its Investor Centre.

Q5. How will my dividends and other cash distributions be paid?

A5. James Hardie CUFS holders may chose to receive dividends and cash distributions by cheque, or by direct electronic funds transfer to a nominated account with an Australian bank, credit union, or building society.

You can nominate an account, or vary instructions, for direct electronic funds transfer using Computershare's on-line Investor Centre.

Q11. When does James Hardie pay dividends?

A11. The Directors determine the amount of dividend every six months, taking into account the after-tax profits available, and the reinvestment needs of James Hardie businesses.

Q12. Do I need to supply my Tax File Number (TFN) if I hold James Hardie CUFS?

A12. No. James Hardie Industries NV is a Dutch- incorporated company, so quotation of  Australian TFN is not required.

Q15. Where will the AGM be held?

A15. Dutch law requires all James Hardie general meetings, including the Annual General Meeting (AGM), to be held in the Netherlands.
 
An Australian Information Meeting will be held up to seven days prior to each general meeting, including prior to each AGM, for security holders  who are unable to attend a general meeting or an AGM.

The conduct of the Australian Information Meeting held prior to each general meeting (including each AGM) will be very similar to the general meeting (or AGM), providing security holders with an opportunity to question management and the Board.

No voting will take place at an Australian Information Meeting, but security holders are  able to lodge voting direction forms for votes to  be counted at the subsequent general meeting or an AGM.

To ensure that security holders votes count, all voting at general meetings (including each AGM) will take place by written poll.

Notices of Meeting are mailed to James Hardie security holders at least 28 days before a  general meetings or an AGM.

Annual General Meetings are held before 30 September each year.

A16. James Hardie Industries NV is incorporated in The Netherlands, with its corporate seat in Amsterdam. The liability of members is limited.
